2. ENGLISH VERSION — GENERAL TERMS AND CONDITIONS OF SALE
English translation – the French Conditions Générales de Vente (CGV) are the legally authoritative version. In the event of any discrepancy or difference in interpretation, the French version shall prevail, subject to any mandatory consumer protection laws applicable to the customer.
GENERAL TERMS AND CONDITIONS OF SALE (CGV)

These General Terms and Conditions of Sale apply to sales concluded by Nathalie Todd with consumers, including through the websites nathalietodd.com and studio.nathalietodd.com.
ARTICLE 1 – IDENTITY OF THE SELLER

Hereinafter referred to as the "Seller" or the "Artist".
ARTICLE 2 – PURPOSE AND SCOPE
These General Terms and Conditions of Sale define the rights and obligations of the Seller and the consumer customer (the "Customer") in connection with the sale of products and services offered by Nathalie Todd.
Products offered may include:
- Original artworks;
- Original graphite drawings;
- Fine art photography;
- Fine art prints;
- Limited edition prints;
- Bespoke commissioned artworks;
- Gift certificates or gift cards, where applicable.
Digital products, online courses, workshops and retreats that may be offered in the future will, where appropriate, be subject to additional specific terms.
The Customer confirms that they have read and accepted these Terms and Conditions before placing an order.
ARTICLE 3 – CHARACTERISTICS OF ARTWORKS AND PRODUCTS
The essential characteristics of each product are provided on the relevant product page.
Nathalie Todd takes great care in presenting and describing her artworks.
The Customer nevertheless acknowledges that:
- Colours, contrasts and tones displayed may vary according to the screen and its settings;
- An original artwork is handmade and may have characteristics inherent in the artistic process;
- The Customer is responsible for checking the dimensions stated on the product page before ordering;
- Photographs showing artworks in interiors, mock-ups or other settings are for illustrative purposes.
Unless otherwise stated on the product page, original artworks are sold unframed.
ARTICLE 4 – PRICES
Prices are stated in euros (€).
Nathalie Todd currently benefits from the French VAT exemption scheme (franchise en base de TVA).
VAT not applicable pursuant to Article 293 B of the French General Tax Code.
Applicable delivery charges are shown to the Customer before final confirmation of the order.
The Seller may change prices at any time. The price applicable to an order is the price displayed when the order is confirmed.
For orders delivered outside the European Union or to territories where import duties or taxes apply, any such charges remain the responsibility of the Customer.
ARTICLE 5 – ORDERS
The Customer selects the products they wish to order and checks the information relating to the order before confirming it.
Confirmation of the order constitutes acceptance of these Terms and Conditions.
An order confirmation is provided to the Customer on a durable medium, generally by email.
The Seller reserves the right to refuse an order for a legitimate reason, including suspected fraud, payment problems or product unavailability.
If the Seller cancels an order for which payment has already been received, the relevant sums will be refunded.
ARTICLE 6 – PAYMENT
Payment methods offered may include:
- Shopify Payments;
- Stripe;
- PayPal.
For products immediately available for sale, full payment is due when the order is placed.
Specific payment arrangements for commissioned artworks are set out in Article 14.
ARTICLE 7 – RETENTION OF TITLE
The Seller retains ownership of the physical item until its price has been paid in full.
Transfer of ownership of the physical item does not transfer any intellectual property rights associated with the artwork.
ARTICLE 8 – DELIVERY
Orders are dispatched from France.
Carriers used may include La Poste and Colissimo.
Products will be delivered to the address provided by the Customer when placing the order.
Applicable delivery dates or timeframes will be communicated to the Customer in accordance with applicable law.
The Customer is responsible for ensuring that the delivery information provided is accurate.

All mandatory statutory provisions relating to delivery remain fully applicable.
ARTICLE 9 – INTERNATIONAL DELIVERIES
Nathalie Todd accepts international orders for countries available for delivery at the time the order is placed.
Customs duties, import taxes and other charges that may be payable in the country of destination remain the responsibility of the Customer, unless otherwise required by law.
The Customer is responsible for checking the import regulations applicable in their country.
Where a parcel is returned to the Seller because the Customer has refused to pay applicable import duties or taxes, costs actually incurred by the Seller may be deducted from any refundable amount to the extent permitted by law.
ARTICLE 10 – RIGHT OF WITHDRAWAL
10.1 Eligible Products
For distance contracts to which the statutory right of withdrawal applies, the consumer Customer has a period of fourteen (14) days in which to exercise the right of withdrawal without having to provide a reason.
For the sale of goods, this period begins when the Customer, or a third party designated by the Customer other than the carrier, receives the goods.
Subject to statutory exceptions, this right applies in particular to:
- Existing original artworks;
- Non-personalised fine art prints;
- Non-personalised limited edition prints.
10.2 Exercising the Right of Withdrawal
The Customer must notify the Seller of their decision before expiry of the fourteen-day period:

The Customer may use the withdrawal form provided in Appendix 1 or make any other unambiguous statement expressing their decision to withdraw.
10.3 Returns
After notifying the Seller of the decision to withdraw, the Customer must return the goods without undue delay and no later than fourteen days following that notification.
The Customer bears the direct cost of returning goods when withdrawing because of a change of mind.
The item must be appropriately packaged to protect the artwork during transit.
Use of a tracked delivery service is strongly recommended so that the Customer can provide evidence of dispatch.
10.4 Condition of Returned Goods
The Customer is responsible only for any diminished value of the goods resulting from handling beyond that necessary to establish their nature, characteristics and condition.
A corresponding reduction may be made to the refund where depreciation for which the Customer is responsible has occurred, including as a result of excessive handling or manifestly inadequate return packaging.
10.5 Reimbursement
Where the right of withdrawal is validly exercised, the Seller will reimburse the amounts due in accordance with Article L.221-24 of the French Consumer Code, including standard outbound delivery charges where required by law.
Reimbursement will be made without undue delay and no later than fourteen days from the date on which the Seller is informed of the Customer's decision to withdraw.
For sales of goods, the Seller may defer reimbursement until the goods have been recovered or until the Customer provides evidence that the goods have been sent back, whichever occurs first.
The refund will be made using the same payment method used for the original transaction unless the Customer expressly agrees otherwise and provided that the Customer incurs no additional fees.
Additional delivery costs resulting from the Customer choosing a more expensive delivery method than the standard delivery method offered by the Seller will not be reimbursed.
ARTICLE 11 – EXCEPTIONS TO THE RIGHT OF WITHDRAWAL
In accordance in particular with Article L.221-28 of the French Consumer Code, the right of withdrawal cannot be exercised in respect of goods made to the consumer's specifications or clearly personalised.
This includes, in particular, portraits, drawings and other artworks created specifically to order using the Customer's horse, animal, photographs or personal instructions.
The Customer will be informed of this exclusion before confirming a personalised order.
This exclusion from the right of withdrawal does not affect any statutory guarantees applicable in the event of lack of conformity or hidden defects.
ARTICLE 12 – FINE ART PRINTS AND LIMITED EDITIONS
Fine art prints may be produced by Nathalie Todd or by a professional laboratory.
Limited editions are numbered and accompanied by a Certificate of Authenticity.
Where a print is returned under the statutory right of withdrawal and remains in a condition permitting resale, it may be offered for sale again as part of the relevant edition.
Intellectual property rights in the image remain the property of Nathalie Todd in all circumstances.
ARTICLE 13 – GOODS DAMAGED IN TRANSIT
The Customer is encouraged to inspect the condition of the parcel and its contents upon receipt.
In the event of damage, the Customer is invited to contact Nathalie Todd promptly and, where possible, within fourteen days of receipt, providing:
- Photographs of the artwork;
- Photographs of the packaging;
- Photographs showing the visible damage;
- Information relating to the order.
The Customer is encouraged to retain the packaging until the matter has been resolved.
Depending on the circumstances and without prejudice to the Customer's statutory rights, repair, replacement, reimbursement or another appropriate solution may be offered.
The fourteen-day period referred to above is intended to facilitate the handling of transit-damage claims and does not limit the Customer's statutory guarantee rights.
ARTICLE 14 – SPECIFIC TERMS FOR COMMISSIONED ARTWORKS
14.1 Nature of the Commission
A commissioned artwork is created specifically for the Customer using the information, photographs and choices agreed with Nathalie Todd.
The Customer acknowledges that the creation of an artwork involves the Artist's personal style and artistic interpretation.
14.2 Acceptance
Nathalie Todd remains free to accept or decline a commission request before the contract is concluded.
14.3 Price and Advance Payment (Acompte)
When a commission is accepted, 50% of the total price is payable when the commission is confirmed as an advance payment (acompte), unless otherwise agreed in writing.
This advance payment constitutes part-payment of the total price of the commission and represents a firm commitment by the parties, subject to any mandatory statutory provisions.
The remaining 50% balance is payable following completion and approval of the artwork and, in all cases, before dispatch.
No commissioned artwork will be dispatched until payment has been received in full.
14.4 Cancellation Before Work Begins
As a commercial goodwill provision, Nathalie Todd permits a Customer to request cancellation of the commission before the artistic work has actually begun.
In this case, the 50% advance payment will be refunded to the Customer.
For the purposes of this provision, artistic work is deemed to have begun when Nathalie Todd actually begins the preparatory work or drawing of the artwork.
This additional contractual cancellation facility does not alter the statutory exclusion from the right of withdrawal applicable to personalised goods where the conditions for that exclusion are satisfied.
14.5 Cancellation After Work Has Begun
Once artistic work has begun, the Customer no longer benefits from the contractual cancellation facility provided under Article 14.4.
The consequences of any subsequent cancellation request will be determined in accordance with the contract, the work already undertaken and applicable statutory provisions.
14.6 Revisions
The price includes up to two reasonable rounds of revisions at the review stage agreed with the Customer.
Requests exceeding this allowance or involving a substantial change to the original project may incur an additional charge. Any such additional charge will be communicated to and agreed by the Customer before the additional work is carried out.
14.7 Approval
The Customer will be invited to approve the artwork before dispatch.
Approval confirms that the artwork corresponds to the agreed artistic project, without prejudice to any statutory guarantees that remain applicable.
14.8 Reference Photographs
The Customer declares that they hold the necessary rights or permissions to allow Nathalie Todd to use photographs and other materials supplied for the purpose of creating the artwork.
14.9 Artist's Use of the Artwork
Unless otherwise agreed in writing, Nathalie Todd retains the right to photograph and display the commissioned artwork in her portfolio, on her websites and social media, in publications, exhibitions and promotional materials, subject to applicable rights.
ARTICLE 15 – INTELLECTUAL PROPERTY
The purchase of an original artwork, print or commissioned artwork transfers ownership only of the physical item sold.
Copyright and other intellectual property rights remain the property of Nathalie Todd unless expressly assigned in writing.
In particular, the Customer may not reproduce, publish, distribute, commercialise or otherwise commercially exploit the artwork without prior authorisation.
ARTICLE 16 – STATUTORY GUARANTEES
Products sold benefit from the applicable statutory guarantees independently of the right of withdrawal and any commercial guarantee that may be offered.
Statutory Guarantee of Conformity
The consumer has a period of two years from delivery of the goods in which to invoke the statutory guarantee of conformity if a lack of conformity appears.
During this period, the consumer is required to establish only the existence of the lack of conformity and not the date on which it arose.
The statutory guarantee of conformity entitles the consumer, in particular and subject to the conditions provided by the French Consumer Code, to repair or replacement of the goods free of charge and within a maximum period of thirty days following the request.
Where the conditions provided by law are satisfied, the consumer may obtain a reduction in price or termination of the contract.
Guarantee Against Hidden Defects
The consumer also benefits from the guarantee against hidden defects provided by Articles 1641 to 1649 of the French Civil Code.
An action under this guarantee may be brought within two years of discovery of the defect, subject to the conditions provided by law.

ARTICLE 18 – CONSUMER MEDIATION
In accordance with Articles L.612-1 et seq. and L.616-1 of the French Consumer Code, after first submitting a written complaint to Nathalie Todd and where the dispute has not been resolved amicably, the consumer may refer the matter free of charge to the consumer mediator appointed by Nathalie Todd:

Use of mediation is free of charge for the consumer, subject to the applicable eligibility requirements.
ARTICLE 19 – PERSONAL DATA
Personal data is processed in accordance with the Privacy Policy published on the websites.
Information concerning cookies and other tracking technologies is provided in the Cookie Policy.
ARTICLE 20 – FORCE MAJEURE
Neither party shall be liable for failure to perform its obligations where such failure results from an event constituting force majeure under French law.
ARTICLE 21 – APPLICABLE LAW AND DISPUTES
These Terms and Conditions are governed by French law.
However, where the Customer is a consumer residing in another country, this provision shall not deprive the Customer of any mandatory protections to which they are entitled under applicable law.
In the event of a dispute, the parties will first seek an amicable solution.
The consumer Customer retains the right to refer the matter to the consumer mediator and to the competent courts in accordance with applicable legal rules.

APPENDIX 2 – FUTURE DIGITAL PRODUCTS AND ONLINE COURSES
This Appendix will apply only when Nathalie Todd begins selling the relevant products or services.
Online courses and digital content may be subject to additional specific terms.
Where the Customer requests immediate access to digital content not supplied on a tangible medium before expiry of the statutory withdrawal period, the consent mechanisms required by the French Consumer Code will be implemented during the ordering process.
Where applicable, the Customer will in particular be required to give prior express consent to immediate performance and expressly acknowledge the loss of the right of withdrawal in the circumstances provided by law.
Educational content remains protected by Nathalie Todd's intellectual property rights and is for the purchaser's personal use only.
APPENDIX 3 – FUTURE WORKSHOPS AND RETREATS
This Appendix will apply only when Nathalie Todd begins selling the relevant services.
Workshops, courses and retreats will be subject to specific terms setting out, in particular:
- The programme;
- Dates;
- Location;
- Price;
- Payment arrangements;
- What is and is not included in the price;
- Cancellation conditions for the participant;
- Cancellation or postponement conditions for Nathalie Todd;
- Any insurance requirements;
- Conditions relating to accommodation, transport and meals.
The specific terms for each event will be provided to the Customer before booking.
